Welcome to XON! These Terms & Conditions (“Terms”) govern your access to and use of the XON website and its crypto-like rewards platform (“Service”). Please read these Terms carefully before using the Service. By accessing or using XON, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must refrain from using our Service. These Terms constitute a legally binding agreement between you (the "User") and XON (“we,” “us,” or “our”).

1. Service Description

What XON Is: XON is a web-based platform that allows users to earn and manage digital rewards in a manner similar to a digital currency system. Users can participate in various activities on the platform (as defined by XON) to accumulate reward points or tokens (“XON Tokens”). XON Tokens are earned exclusively through platform activities such as viewing ads; they cannot be purchased for money currently.  These XON Tokens are a form of virtual reward for use within the XON platform only. They are not real money or cryptocurrency and do not hold any monetary or cash-out value outside of our Service. XON Tokens cannot be redeemed, exchanged, or converted into real currency, and they are non-transferable except within the scope of the platform features. Any resemblance to cryptocurrencies is for conceptual purposes only – XON Tokens are a loyalty/engagement reward, not a financial instrument.

What XON Is Not: XON is not a bank, crypto exchange, or investment service. The Service and the XON Tokens are provided for entertainment and user engagement. They should not be considered as an opportunity for investment or profit. We do not provide financial advice, and nothing on our platform should be construed as an offer or recommendation to buy or trade any security or cryptocurrency.

We reserve the right to add, modify, or remove features of the Service at any time. For example, we may introduce new ways to earn or use XON Tokens, or we might change certain features to improve user experience or comply with legal requirements. Significant changes to the Service will typically be announced via the website or email.

2. Acceptance of Terms

By creating an account or otherwise using the XON Service, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Service. Continued use of the Service signifies ongoing acceptance of these Terms, including any future updates. You are responsible for ensuring that any persons that you allow to use your account or the Service (for example, if you let someone else use your login) also comply with these Terms.

We may ask you to agree to additional terms for certain parts of the Service, especially if new features are introduced. In such cases, those additional terms will become part of your agreement with us if you use those features. If there is a conflict between additional terms and these base Terms, the additional terms will control for that conflict.

3. Eligibility (Who Can Use XON)

XON is intended for users who are at least 18 years old, or the legal age of majority in your jurisdiction, whichever is higher. By using our Service, you represent and warrant that you meet this age requirement and are fully able and competent to enter into and abide by these Terms. If you are under 18 (or the applicable age of majority), you may not use the Service. We reserve the right to request proof of age or identity at any point to verify compliance with this rule.

You also represent that you are not barred from using the Service under any applicable laws. You must ensure that your use of XON is not prohibited by laws of your country or jurisdiction. For example, if you are in a location that bans online reward programs or similar platforms, you must not use XON. It is your responsibility to comply with your local laws when using our Service.

We may, at our discretion, refuse to offer the Service to any person or entity and change eligibility criteria at any time. This provision is void where prohibited by law and the right to access the Service is revoked in such jurisdictions.

4. User Registration and Account Security

To access certain features of XON, you will need to create an account. When creating an account, you agree to provide truthful, accurate, and complete information about yourself as prompted by the registration form. You are responsible for keeping your account information up-to-date (particularly your contact email, so we can reach you with important notices).

Account Security: You are responsible for maintaining the confidentiality of your account credentials (login and password). Do not share your password with anyone. If you suspect any unauthorized access to your account, you must notify us immediately at our support contact. We recommend choosing a strong and unique password for XON and updating it periodically.

You are liable for all activities that occur under your account, whether or not authorized by you. We will assume that any actions taken through your account were done by you. XON will not be liable for any loss or damage arising from unauthorized use of your credentials if you fail to keep them secure. However, if you promptly inform us of a breach or unauthorized use, we will do our best to help secure your account and prevent further unauthorized activities.

We may offer multi-factor authentication or other security features; we encourage you to use these for added security.

5. User Conduct and Responsibilities

When using XON, you agree to conduct yourself in a responsible, respectful manner. You must not misuse our Service. In particular, you agree NOT to engage in any of the following:

• Illegal Activities: You will not use XON for any unlawful purpose or in furtherance of illegal activities. This includes complying with all applicable export control and sanctions laws if relevant.

• Fraud and Cheating: You will not exploit, manipulate, or abuse the reward system. Any attempt to fraudulently earn XON Tokens (such as through bots, scripts, or any form of cheating) is strictly prohibited.

• Unauthorized Access: You will not attempt to gain unauthorized access to any part of the Service, other users’ accounts, or any computer systems or networks connected to XON (e.g., by hacking, password mining, or any other means).

• Interference: You will not interfere with or disrupt the integrity or performance of the Service or the data contained therein. This includes not uploading or distributing any viruses, malware, or other harmful code.

• Impersonation and Misrepresentation: You will not impersonate any person or entity or falsely state or misrepresent yourself (e.g., pretending to be a XON staff member or a notable figure).

• Data Mining: You will not use any automated means (such as bots, scrapers, or spiders) to access the Service for any purpose without our express written permission. You also agree not to harvest or collect information about other users without their consent.

• Third-Party Rights: You will not upload, post, or transmit any content that infringes any third party’s intellectual property or other rights. If you share any content on XON (such as profile pictures, or posts if that feature exists), you must have the right to do so.

• Commercial Use: You will not use XON for any commercial purpose not expressly approved by us. The Service is for personal use and enjoyment. You may not resell our services or exploit any portion of the platform for commercial gain without permission.

Violation of the above rules may result in immediate termination or suspension of your account (see Termination section below) and may also expose you to legal consequences. We reserve the right to investigate any suspected breach of these Terms and to take any action we deem appropriate. This may include removing or modifying any content you have posted (if applicable) or cooperating with law enforcement authorities in prosecuting users involved in illegal activities.

6. XON Tokens and Rewards

As part of the Service, XON may issue digital reward points or “XON Tokens” to users for completing certain actions or meeting certain conditions (for example, logging in daily, referring new users, participating in community events, etc.). The accumulation and redemption (if any) of XON Tokens are subject to the following terms:

• No Monetary Value: XON Tokens are not real currency. They are a virtual reward mechanism with no cash value. You cannot purchase XON Tokens from us (unless we later offer such an option) and you cannot sell or exchange XON Tokens outside of the XON platform. These tokens have no monetary value and are non-refundable. They exist solely for use within the Service (e.g., for bragging rights, unlocking certain features, or other purposes as defined by XON).

• Earning Tokens: We will outline on the platform how you can earn XON Tokens (for example, actions or achievements that grant tokens). These rules may change from time to time as we adjust the reward system. We do not guarantee that any specific action will always yield the same token reward, and we may set limits (such as a daily cap) on token earnings to prevent abuse.

• Using Tokens: We reserve the right to add, remove, or change the ways tokens can be used. We will communicate any material changes to token usage on the platform or via update notes.

• Forfeiture: If your account is terminated for cause (due to violation of these Terms) or if you choose to delete your account, you will forfeit any remaining XON Tokens associated with your account. Tokens cannot currently be transferred to another account.

• No Liability for Loss of Tokens: We are not responsible for loss of tokens due to unauthorized access to your account (please keep your account secure) or due to any technical issues. We will, of course, endeavor to maintain accurate tracking of token balances, but in the unlikely event of a data loss or error, we reserve the right to correct token balances if we identify a mistake.

• Changes to Reward Program: XON’s rewards program is subject to change. We may modify or discontinue the token system or any part thereof at any time. If we discontinue or substantially alter the token program, we will provide notice. In the event of discontinuation, any unused tokens may be canceled with or without compensation at our discretion, subject to applicable law.

By participating in the XON rewards program, you acknowledge and accept these conditions. If you do not agree, your remedy is to stop participating in the rewards program or cease using the Service.

7. Intellectual Property

All content and materials on the XON website and Service – including but not limited to the software, design, text, graphics, images, logos, videos, and any other materials – are the intellectual property of XON or its licensors. This includes the “XON” name and logo, which are our trademarks. All such rights are reserved.

Nothing in these Terms grants you any rights to use any of our intellectual property, except for the limited right to use the Service for its intended purpose in accordance with these Terms. You agree not to copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, or transmit any of the material on our Service, except as explicitly permitted by us in writing. For example, you may not scrape or archive our content to create your own database, nor use our logos without permission.

If you are found to be infringing on our intellectual property rights or those of our partners, we reserve the right to take legal action and terminate your use of the Service.

User Content: At present, XON is primarily a rewards platform and may not allow users to post their own content publicly (beyond basic profile information). However, if you upload, submit, or otherwise share any content to XON (such as forum posts, profile pictures, feedback, etc.), you retain ownership of your content. You hereby grant XON a worldwide, royalty-free, sub-licensable license to use, display, reproduce, and distribute your content as needed to provide the Service. For example, if you post on a community forum on XON, you allow us to display that content to other users. You also agree that any content you provide complies with the User Conduct rules above – you have the rights to that content and it does not violate any laws or rights of others. We are not responsible for any user-generated content; you bear full responsibility for your own posts. We reserve the right to remove any user content that violates these Terms or that we find objectionable.

8. Privacy

Your privacy is important to us. Our Privacy Policy (accessible on our site) explains how we collect, use, and protect your personal data. By using the Service, you agree to the collection and use of information as outlined in the Privacy Policy. If you do not agree with our Privacy Policy, do not use the Service.

In summary, we implement appropriate technical and organizational measures to safeguard your information. We do not sell personal data to third parties. We use cookies and may show personalized ads as described in the Privacy Policy. You have certain rights regarding your data, which you can exercise as detailed in that policy.

9. Disclaimer of Warranties

Use at Your Own Risk: XON provides the Service on an “as is” and “as available” basis. While we strive to provide a great platform, we do not guarantee that the Service will meet your expectations or be error-free, uninterrupted, or secure at all times. To the maximum extent permitted by law, we disclaim all warranties and conditions of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

In particular, we make no warranty that: (i) the Service will always be available, timely, secure, or free from disruptions or viruses; (ii) any information provided on the Service will be accurate, complete, or reliable; (iii) any defects or errors in the Service will be corrected; or (iv) the results of using the Service (including any potential rewards or points earned) will be satisfactory or valuable.

XON Tokens and any other digital rewards are provided purely as a feature of the Service. We make no warranties regarding the value, redemption, or use of these tokens beyond what is described in the Service. They could be modified, revoked, or terminated as explained above.

If you download any material or obtain any content through the Service, you do so at your own discretion and risk. You will be solely responsible for any damage to your device or loss of data that results from downloading or accessing any content through XON.

Some jurisdictions do not allow the exclusion of certain warranties. In such cases, some of the above disclaimers may not fully apply to you, and you may have specific legal rights in your jurisdiction. However, in any such case, our warranties are limited to the fullest extent permitted by applicable law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, XON and its owners, operators, affiliates, and agents will not be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of (or inability to use) the Service. This includes, without limitation, damages for lost profits, lost data, loss of goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.

In particular, we will not be liable for:

• Any errors, mistakes, or inaccuracies in content on the Service;

• Personal injury or property damage resulting from your access to or use of the Service;

• Any unauthorized access to or use of our servers and/or any personal information stored therein;

• Any interruption or cessation of transmission to or from the Service;

• Any bugs, viruses, or malicious code that may be transmitted through the Service by any third party;

• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, or otherwise made available through the Service.

Our total cumulative liability to you for any claims arising out of or relating to these Terms or the Service is limited to the greater of: (a) the total amount (if any) you have paid to us for the Service in the last six (6) months, or (b) EUR 100 (one hundred euros). This limitation applies regardless of the form of action (whether in contract, tort, statute, or otherwise) and even if any limited remedy herein is found to have failed its essential purpose.

Nothing in these Terms shall limit or exclude our liability for gross negligence, intentional misconduct, or for death or personal injury caused by our negligence or to the extent that such liability cannot be limited or excluded by law.

Because some jurisdictions do not allow the exclusion or limitation of certain damages, in such jurisdictions our liability shall be limited to the extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless XON and its affiliates, officers, agents, partners, and employees, from and against any and all third-party claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) that arise out of or are connected to: (a) your use of the Service; (b) your violation of any provision of these Terms; (c) your violation of any rights of a third party (for example, infringement of intellectual property or privacy rights); or (d) any content you submit or share on the Service (if applicable).

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In that case, you agree to cooperate with our defense of that claim. You agree not to settle any such matter without our prior written consent. Your indemnification obligation will survive any termination of your account or of the Service.

12. Suspension and Termination of Accounts

By XON: We reserve the right to suspend or terminate your access to the Service at our sole discretion, with or without notice, if we determine that you have violated these Terms or any applicable law, or for any other reason including prolonged inactivity. Termination or suspension may include disabling your account and/or preventing you from accessing the Service (temporarily or permanently). In most cases of minor violations, we will attempt to provide a warning or explanation, but we are not obligated to do so. If your account is terminated due to a breach of these Terms, you may forfeit any unused XON Tokens or benefits, and we reserve the right to refuse any new registration by you.

We also retain the right to terminate or suspend the Service (or any part of it) for all users if necessary, for example in the case of extreme technical issues, business discontinuation, or force majeure events.

By You: You are free to stop using the Service at any time. If you wish to terminate (delete) your XON account, you may do so by contacting us or, if the functionality is available, by using an account deletion option in your profile settings. Upon your request, we will deactivate or delete your account and remove or anonymize your personal data in accordance with our Privacy Policy (noting that some data may be retained as required by law). Once your account is deleted, you will lose access to any information associated with it, including any accumulated XON Tokens or rewards, which are not redeemable in cash.

Even after your account is terminated (by you or by us), certain provisions of these Terms will remain in effect. These include, for example, intellectual property rights, disclaimer of warranties, limitation of liability, and indemnification clauses, which survive termination.

13. Changes to the Terms

We may modify or update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Effective Date" at the top, and/or by sending a notice to the contact email associated with your account. It is your responsibility to review these Terms periodically.

Continued Use Constitutes Acceptance: If you continue to use the Service after the new Terms have become effective, you are indicating that you accept the revised Terms. If you do not agree to any update, you must stop using the Service. We may require you to actively accept the new Terms (for example, by clicking "I agree") before you can continue using the Service.

14. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them or the Service will be governed by and construed in accordance with the laws of Hungary, without regard to its conflict of law principles. You and XON agree that all claims and disputes can only be brought in and shall be subject to the exclusive jurisdiction of the courts of [Name of City, Country] (except that we may seek injunctive relief in any competent court worldwide to protect our intellectual property or confidential information). By agreeing to these Terms, you consent to the jurisdiction of such courts and waive any objections such as inconvenient forum.

If you are a consumer located in the European Union, you may have the right to bring legal proceedings in your own language and jurisdiction under certain circumstances, and a local consumer protection law may apply. These Terms do not limit any consumer protection rights you might be entitled to under the mandatory laws of your country of residence.

Global Use: We make no representation that the Service is appropriate or available in locations outside of the European Union. If you choose to access or use the Service from outside the EU, you do so at your own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

15. Miscellaneous Provisions

• Entire Agreement: These Terms (along with the Privacy Policy and any additional terms to which you agree when using particular elements of the Service) constitute the entire agreement between you and XON regarding the Service and supersede all prior agreements or understandings, whether written or oral, relating to the subject matter herein.

• Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.

• No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by our authorized representative.

• Assignment: You may not assign or transfer your rights or obligations under these Terms to any third party without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets, or by operation of law.

• No Partnership: Nothing in these Terms shall be construed as creating any joint venture, partnership, employment, or agency relationship between you and XON, and neither party has the authority to bind the other in any respect.

• Third-Party Beneficiaries: These Terms are for the benefit of you and XON (and our successors and permitted assigns). Except as expressly provided, they are not intended to confer any rights or remedies on any other person or entity.

• Force Majeure: XON will not be liable for any delay or failure to perform its obligations hereunder if such delay or failure results from any cause beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, civil disturbances, governmental actions, natural disasters, or network or power failures.
